1. Introduction and Acceptance

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and reve8 Software Pvt. Ltd. ('reve8', 'we', 'us', or 'our'), a company registered and operating in India under applicable Indian law. By accessing our website (reve8.com) or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please immediately discontinue use of our website and services. These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the IT Act, 2000, and the Consumer Protection Act, 2019.

2. Eligibility

You must be at least 18 years of age and legally competent to enter into contracts under the Indian Contract Act, 1872, to use our services. By using this website, you represent and warrant that you meet these requirements. If you are accessing our services on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms. We do not knowingly provide services to minors.

3. Services Provided

reve8 Software Pvt. Ltd. provides software development, AI automation, web development, data analytics, and related technology consulting services ('Services'). Specific deliverables, timelines, fees, and service-level commitments for any engagement are governed by separate written agreements or statements of work ('SOW') signed by both parties. These Terms apply to general use of our website and serve as the baseline framework for all client engagements. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail.

4. User Obligations and Prohibited Conduct

As a condition of using our website and services, you agree to: (a) provide accurate, complete, and current information; (b) use our website and services only for lawful purposes in compliance with all applicable Indian laws, including the IT Act 2000, the IT (Amendment) Act 2008, and the Indian Penal Code 1860; (c) not engage in any activity that disrupts, damages, or impairs the functioning of our website or services; (d) not attempt to gain unauthorised access to our systems, data, or networks — any such attempt constitutes an offence under Section 43, Section 66, and Section 66C of the IT Act 2000; (e) not use our services to transmit unlawful, defamatory, obscene, or harmful content; (f) not infringe the intellectual property rights of reve8 or any third party. We reserve the right to suspend or terminate access for any violation of these obligations.

5. Intellectual Property Rights

All content on this website, including but not limited to text, graphics, logos, images, software code, and design elements, is the exclusive property of reve8 Software Pvt. Ltd. and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and other applicable Indian intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use this website for personal and informational purposes only. You may not reproduce, distribute, modify, reverse-engineer, or create derivative works from any content on this website without our prior written consent. Custom software and deliverables developed under client engagements are subject to IP ownership terms agreed in the applicable SOW.

6. Payment Terms

Fees for our services are as specified in the applicable SOW or invoice. Unless otherwise agreed, invoices are payable within 30 days of issuance. Late payments attract interest at the rate of 18% per annum or the maximum rate permitted by applicable Indian law, whichever is lower. All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) as levied under the Central Goods and Services Tax Act, 2017 and applicable state legislation. You are responsible for all applicable taxes. We are registered under GST and will issue valid tax invoices for all taxable supplies.

7. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in the course of an engagement ('Confidential Information'). Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed without reference to the disclosing party's information; or (d) is required to be disclosed by law or court order, provided prompt written notice is given to the disclosing party. The confidentiality obligations herein supplement and do not replace any non-disclosure agreement executed between the parties.

8. Disclaimer of Warranties

Our website and services are provided on an 'as is' and 'as available' basis. To the fullest extent permitted by applicable Indian law, reve8 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. Nothing in these Terms excludes liability that cannot be excluded under the Consumer Protection Act, 2019 or other mandatory Indian consumer protection laws.

9. Limitation of Liability

To the maximum extent permitted by Indian law, reve8's aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to reve8 in the 3 months preceding the event giving rise to the claim. In no event shall reve8 be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, even if advised of the possibility of such damages. This limitation does not apply to liability arising from fraud, wilful misconduct, or gross negligence, nor does it limit rights available to consumers under the Consumer Protection Act, 2019.

10. Indemnification

You agree to indemnify, defend, and hold harmless reve8 Software Pvt. Ltd., its directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any applicable Indian law or the rights of any third party; (c) any content or data you provide to us in connection with our services; or (d) your negligence or wilful misconduct.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall first be attempted to be resolved amicably through good-faith negotiations within 30 days of written notice. If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, in Visakhapatnam, Andhra Pradesh. The language of arbitration shall be English. The award shall be final and binding. Nothing herein prevents either party from seeking urgent interim relief from a court of competent jurisdiction in Visakhapatnam.

12. Intermediary Disclaimer

To the extent reve8 acts as an intermediary as defined under Section 2(1)(w) of the IT Act 2000, we comply with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We are not liable for third-party content unless we have actual knowledge of unlawful content and fail to act expeditiously to remove it. Users may report unlawful content to our Grievance Officer as identified in our Privacy Policy.

13. Consumer Rights

If you are a consumer as defined under the Consumer Protection Act, 2019, you have rights including the right to be informed, the right to choose, the right to seek redressal, and the right to consumer education. You may raise a consumer complaint through the National Consumer Helpline (1800-11-4000) or through the e-Daakhil portal at edaakhil.nic.in. These Terms do not limit or waive any statutory consumer protection rights you hold under Indian law.

14. Termination

We reserve the right to suspend or terminate your access to our website or services at any time, with or without notice, for any breach of these Terms or violation of applicable law. Upon termination, your right to use the website ceases immediately. Provisions of these Terms that by their nature should survive termination — including IP rights, confidentiality, limitation of liability, and dispute resolution — shall continue in full force and effect.

15. Amendments

We may revise these Terms at any time by posting an updated version on this page with a revised effective date. Material changes will be communicated via email or a prominent notice on our website. Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of our services.
